Business Cooperation Rules and Terms

Welcome units/individuals (Party B) who are interested in conducting business cooperation with our company (Party A, independent flashlight station operator). This clause is the core basis for cooperation between both parties, formulated in accordance with the principles of "win-win cooperation, equality, voluntariness, and good faith performance", clarifying the core rights and obligations of both parties. Any matters not covered may be supplemented through further negotiation.

1、 Collaboration Subject

1. Party A is a legally registered enterprise with qualifications for flashlight production/sales and the legal right to operate related products.

2. The second party shall provide genuine and valid qualifications (business license provided by the enterprise, ID card provided by the individual) to ensure that they have the ability to cooperate.

2、 Collaboration Content

1. The scope of cooperation includes but is not limited to flashlight wholesale, regional agency, customized orders, online distribution, and brand joint promotion. The specific details shall be subject to negotiation between both parties.

2. Party B shall not engage in illegal or irregular activities using Party A's products or brands, and shall not disclose Party A's trade secrets (supply prices, customer information, etc.).

3. Customized cooperation requires both parties to confirm the plan, cost, and timeline. After Party B pays the deposit, Party A will start the work. The deposit will not be refunded unless it is due to Party A.

3、 Rights and Responsibilities of Both Parties

1. Party A: Provide qualified products and authentic product information; Provide necessary support based on cooperation needs (promotional materials, simple training, etc.); Cooperate to handle reasonable after-sales service; Keep confidential the core cooperation information of Party B.

2. Party B: Pay the cooperation funds on time; Carry out business within the agreed scope, without collusion or low price dumping; Undertake the expenses and responsibilities arising from its own sales and promotion; Keep confidential the trade secrets of Party A.

4、 Quality and after-sales service

1. The first party guarantees that the product meets the national basic quality standards, and the warranty period for regular products is determined through mutual consultation.

2. If there are quality issues with the product itself, Party A shall cooperate with maintenance or replacement during the warranty period; We do not provide free after-sales service for human damage, transportation damage, and customized products.

5、 Settlement and Payment

1. The settlement method (full payment, advance payment+final payment, etc.) and period shall be determined through negotiation between both parties. If there is no agreement, full payment shall be made before shipment.

2. If Party B fails to make payment on time, Party B shall pay a reasonable penalty. If the delay exceeds 15 working days, Party A may terminate the cooperation and hold Party B responsible.

6、 Termination of Cooperation and Disputes

1. The cooperation period shall be negotiated by both parties, and may be renewed upon expiration; If one party breaches the contract (such as illegal operation, overdue payment, etc.), the other party may terminate the cooperation and demand compensation.

After the termination of the cooperation, both parties shall settle the payment and return the relevant materials, and the confidentiality obligation shall continue for one year.

3. Priority shall be given to friendly negotiation in case of cooperation disputes. If negotiation fails, a lawsuit shall be filed with the court where Party A is located.

7、 Other

1. This clause shall come into effect upon confirmation by both parties, in duplicate, with each party holding one copy, and shall have equal legal effect.

2. Party A may revise the terms based on business development, which shall take effect 7 working days after public announcement. If Party B continues to cooperate, the revised content shall be recognized.
